DAZN FOR BUSINESS SERVICE TERMS OF USE

About Us and these Terms
    1. Hello and welcome to the world of DAZN. We are a subscription service that provides commercial subscribers with access to a wide range of sporting events from around the world, broadcast as linear TV programs on DAZN 1 and DAZN PPV (“DAZN for Business Service”) via satellite.
    2. The DAZN for Business Service is made available by DAZN Limited. DAZN Limited is a DAZN Group company registered in the United Kingdom with its registered office at 12 Hammersmith Grove, London W6 7AP, England (“we”, “us”, “DAZN”). We (and not a third-party payment provider) are solely responsible for providing the DAZN for Business Service. The provision of the technical infrastructure from Sky Subscribers Services Limited (“SSSL”) necessary for the reception of the DAZN for Business Service is not the subject of these Terms, but requires a separate fee-based contract to be concluded with Sky.
    3. The following document sets out the terms and conditions under which we provide, and you can use, the DAZN for Business Service. They include the DAZN for Business Terms of Service, which set out the terms under which we provide you with the DAZN for Business Service (“Terms”). For the avoidance of doubt, any offers, promotions or discounts that you may receive may be subject to additional terms and conditions which either supersede or supplement these Terms. In the event of a conflict between these Terms and the additional terms and conditions, the additional terms and conditions shall prevail.
    4. The Terms set out the rules under which you subscribe to the DAZN for Business Service in the UK. DAZN's offer to private customers as well as any sporting events for which DAZN does not have rights to public broadcast are not part of your DAZN for Business Service subscription.
    5. A number of paid subscription plans are offered in respect of the DAZN for Business Service, the price & entitlements of which (such as access to sports content, functionality and/or any other features) will be outlined at sign-up or in other communications made available to you prior to sign-up to the subscription plan (each a “DAZN for Business Subscription”). Certain sports events may only be available on a pay per view basis for which additional terms, as set out prior to sign-up, shall apply (“Add-On Event”).
    6. Any other service provided by DAZN Limited or any other DAZN Group company that uses separate terms of use is governed solely by those separate terms of use and do not form part of the DAZN for Business Service (unless expressly stated otherwise in the relevant terms of use).
    7. If you have any questions or issues regarding the DAZN for Business Service or your DAZN for Business Subscription, you can contact our customer support team on the number provided to you in the confirmation email when you first sign up, as may be updated from time to time on business.dazn.com.
  1. DAZN for Business Service
    1. We make available audio-visual coverage of sporting events (both live and on-demand), audio-visual highlights of sporting events and other related content as part of DAZN for Business Subscriptions and Add-On Events on the DAZN for Business Service (the “Content”) of which the composition and availability may vary over time. Content is subject to certain restrictions including, but not limited to, territorial restrictions i.e. each territory will have different rights available, a catalogue of rights available to you in your territory as part of your DAZN for Business Subscription can be seen on the business.dazn.com homepage prior to sign-up.
    1. The DAZN for Business Service currently consists of two linear TV channels: ,DAZN 1 and DAZN PPV.  For the avoidance of doubt, you will only be able to access the DAZN PPV channel, and purchase any related Add-On Event, if you have an active DAZN for Business Subscription.
    1. Access to the DAZN for Business Service requires a permanent establishment in the UK and a separate, fee-based contract with SSSL for the provision of an authorised satellite decoder using Sky or SSSL’s conditional access (encryption) system (“Digibox”). In this regard, SSSL’s general terms and conditions apply. In the event of any conflict between these Terms and SSSL’s general terms and conditions, these Terms shall prevail.
    2. The DAZN for Business Service and all Content related to it are intended for commercial purposes within the Premises only. For the purposes of these Terms, Premises means the business premises at the address (or addresses) specified by you as part of your registration for the DAZN for Business Service, i.e. one or more areas within the Premises that is open to the public or members of that Premises and contains a display (as defined in Section 6.1) that can be viewed by the public or members of such Premises (e.g., pubs,  clubs, bars and other communal facilities). For the avoidance of doubt, private households and other residential buildings cannot be Premises.
    3. We grant you, as part of your DAZN for Business Subscription, a limited, non-exclusive, non-transferable right to access the DAZN for Business Service and the Content made available (depending on your DAZN for Business Subscription) with respect to DAZN for Business Service via satellite within the Premises. Except for the foregoing limited right to use the DAZN for Business Service and any Content, no right, title or interest is granted or transferred to you.
    4. In the event that you make any part of the Content available outside the Premises, we are entitled to require you to pay to us, as liquidated damages, an amount calculated by multiplying the value of one standalone month for that Subscription Plan (as set out on the DAZN for Business Service) by ten (10), for each breach identified in the previous 12 months, to the maximum extent permitted under applicable law. The liquidated damages sum is also payable if you enable a third-party to make any part of the Content available outside the Premises by providing the third-party with your user account details. You agree that the liquidated damages are reasonable and proportionate to protect us against unauthorized and fraudulent behaviour. The enforcement of the liquidated damages is without prejudice to any other remedy available to us where under these Terms or otherwise.
    5. You must immediately notify DAZN of any change to the address of the Premises during the period of your DAZN for Business Subscription by contacting our customer support team. You cannot transfer or assign your DAZN for Business Subscription to a different Premises without DAZN’s prior written consent.
    6. If misuse of your DAZN for Business Subscription within the meaning of section 2.6 is detected, DAZN may withdraw your access to the DAZN for Business Service until there is no longer a breach of section 2.6. Your obligations under these Terms remain unaffected by this withdrawal of access.
    7. It is a prerequisite for accessing the DAZN for Business Service that all payments due to DAZN by you have been authorised, or a valid voucher code has been presented to DAZN.
  1. Viewing Card
    1. Your Viewing Card acts as a key so that you can unlock (unencrypt) the DAZN for Business Service. Having the Viewing Card does not mean you have a right to own the Viewing Card after it is sent to you. The Viewing Card remains the property of SSSL. If we or SSSL ask you to, you must return the Viewing Card after your subscription comes to an end or if we/SSSL require you to return it when you are sent a replacement.
    2. Only you may use the Viewing Card which we, Sky or SSSL send you. You can only use the Viewing Card at the Premises and in the Digibox with which it is first used to receive the DAZN for Business Service.
    3. You must not give your Viewing Card to anybody else (other than us, Sky or SSSL if required to do so under these Terms), and doing so constitutes a breach of these Terms and we reserve the right to immediately cancel your Viewing Card without refund or other compensation.
    4. You must not tamper with the Viewing Card, or use it for anything that is not authorised by us, Sky or SSSL.
    5. Your Viewing Card must not be used outside the UK.
    6. In order to continue to receive the DAZN for Business Service without interruption your Viewing Card must be kept in your Digibox at all times and you will need to keep the Digibox connected to a mains supply and suitable satellite dish and in standby mode when not in use. You must allow us, Sky or SSSL to update the software in your Digibox by sending additional signals via satellite to your Digibox. The software in your Digibox remains SSSL’s property.
    7. We shall be entitled to disclose your name, address and information on the DAZN for Business Service you receive via the Viewing Card as part of the proper administration of the digital satellite system.
    8. Your Viewing Card must not be used outside the United Kingdom and any change of Address must be notified to Us immediately.
    9. Any booking made within five (5) hours of an Add-On Event start time may result in a delay in validating your Viewing Card.
  1. Changes to these Terms
    1. We may, from time to time, modify these Terms including but not limited to the following reasons: to address regulatory changes, to address changes to the service and for security purposes.
    1. Revisions to these Terms, any material changes to the nature of your subscription plan (but not for the avoidance of doubt changes to the Content which may vary as per section 2.1 above), and any change to our payment terms for your DAZN for Business Subscription (including the amount payable) will be notified to you by us via email notice to the most recent email address we hold for you at least 30 days prior to their entry into force. You will be deemed to have accepted these changes if you do not communicate your cancellation as per Section 6, to us in such 30-day period.
  1. The Financials
    1. Your payment will only cover access to the relevant subscription plan and/or Add-On Event (as applicable). You are fully responsible for all charges relating to and equipment required for use of the DAZN for Business Service. Telephone line broadband and other communications or access costs may be charged to you separately by your ISP or relevant service provider.
    2. All prices are exclusive of any applicable value added tax (VAT). If you provide a VAT number when you sign up for the DAZN for Business Service, you must provide your own valid VAT number. If you do not provide your own valid VAT number where required to do so, we reserve the right to charge you VAT retrospectively.
    3. Payment must be made by direct debit or card payment or any other means of payment accepted by DAZN (“Payment Method”).  The payees are either us or a third-party designated by us to obtain your payment, as notified to you at the time you sign up for your DAZN for Business Subscription.  You confirm that any such Payment Method that you use is yours, or that you have the authorisation of the card or account holder to use it. All accounts and Payment Methods are subject to validation checks and authorisation by the Payment Method provider. In the event we incur a cost (e.g. for the bank charge) due to being unable to process a payment for reasons for which you are responsible or a payment being recalled, we may charge you such cost incurred.
    1. For some Payment Methods, the issuer of your Payment Method may charge you certain fees relating to the processing of your Payment Method. Check with your Payment Method service provider for details.
    1. We reserve the right to refuse payments at our reasonable discretion including, but not limited to, if we suspect fraudulent and/or illegal activity.
    1. Subject to section 4.11, the price charged for the use of your DAZN for Business Service subscription will be communicated to you during the registration process or otherwise prior to entering into the contract. Subject to section 4.11, the price for a DAZN for Business Subscription and/or Add-On Event will be as outlined when you sign-up or in other communications made available to you prior to sign-up. The price for a DAZN for Business Subscription is billed on a monthly, annual or other basis, as set out and then chosen by you during sign-up for the DAZN for Business Subscription to your chosen Payment Method on the calendar day corresponding to the commencement of your DAZN for Business Subscription or as otherwise specified by the issuer of your Payment Method. In some cases, the date for billing may change, for example if your subscription began on a day not contained in a given month or pursuant to notice provided under section 4.2. The price for an Add-On Event is billed immediately to your chosen Payment Method on conclusion of your sign-up for the Add-On Event. Where we process your payment, we will process your payment on a secure site.
    1. If your Payment Method is refused or you otherwise default in the payment of any amount due for the DAZN for Business Subscription and/or Add-On Event, then for the entire duration (or any part thereof) of the payment default, we may exercise our rights to refuse performance and withdraw access to the DAZN for Business Service; refuse use of further services; and/or refuse further purchases. Our right to immediately suspend or terminate your access in accordance with section 8.2 remains unaffected.
    1. In respect of any DAZN for Business Subscription where payment is in instalments (e.g. on a monthly basis), if you default in the payment of any instalment then if the default is not remedied within a period of 5 days from the date the payment was due, all outstanding payments, up to the end of the minimum term of the DAZN for Business Subscription, will become due immediately and we may exercise our right to collect this outstanding payment to the maximum extent permitted under applicable law. For instance, any such outstanding payment may be collected by us via your chosen Payment Method or any other Payment Method provided by you to the DAZN Group and includes where you subsequently attempt to re-subscribe with the DAZN for Business Service or obtain any other goods/services from the DAZN Group.
    1. You can check your next payment date and change your method of payment by contacting our customer support team. . If you signed up for a DAZN for Business Subscription using your account with a third party as a Payment Method, you may need to visit your account with the applicable third party to view payment information and change your method of payment.
    2. You are responsible for obtaining the relevant licenses to publicly broadcast the DAZN for Business Service in the Premises, and you are responsible for settling any claims from a competent collecting society in respect of your use of the DAZN For Business Service. DAZN shall not be liable for any such claims.
    3. Subject to the notice requirements at section 4.2 above, we reserve the right to increase the price for the DAZN for Business Subscription and/or Add-On Events at any time.. In accordance with your notice and cancellation rights set out in section 4.2, any price increases for the DAZN for Business Subscription will apply at the earliest after thirty (30) days as of our e-mail notification to your most recently registered e-mail address.
  1. Conclusion of Contract, Term, Automatic Renewal and Termination
    1. The details and pricing in respect of the DAZN for Business Service and Add-On Events on the DAZN for Business Service and in our marketing & promotions do not constitute a legally binding offer. By submitting an order with our customer support team, you make a legally binding offer to conclude a contract. The contract is concluded by our explicit confirmation of the contract. If you have not received such a confirmation, the contract is concluded when we provide you with access to the Content within the DAZN for Business Service.
    1. If no minimum initial term (e.g. 12 months) is specified at the point of sign-up for your DAZN for Business Subscription, your DAZN for Business Subscription begins on the day of the conclusion of the contract and has an indefinite term, but can be terminated at any time either by you or by us with a notice period of thirty (30) days. If a minimum initial term (e.g. 12 months) is specified at the point of sign-up for your DAZN for Business Subscription, your subscription will be for such minimum term and will then terminate. To renew your DAZN for Business Subscription you will need to contact our customer support team.. Our right to immediately suspend or terminate your access in accordance with these Terms remains unaffected.
    1. You may terminate your Paid Subscription by contacting our customer support team and this will be considered your providing us notice for the purposes of section 6.2 (but for clarity termination remains subject to the applicable notice periods). Where you have terminated in accordance with section 6.2, you will continue to have access to the subscription plan until the end of your subscription period at which point it will terminate. Any amounts already paid for the Paid Subscription will not be refunded in case of your cancellation.
    1. If your Paid Subscription is not subject to a minimum term, then depending on the date you gave notice of termination to our customer support team in accordance with Section 6.2, your subscription may continue beyond the last Complete Billing Period, in which case we will charge to your chosen Payment Method (on your last billing date) a pro rata amount based on the number of days from the end of the last Complete Billing Period until date of termination. A “Complete Billing Period” is a period from the date on which you are billed for your Paid Subscription up to (but not including) the next date you are due to be billed for the same. By way of example for a user billed on a monthly basis, where the user is billed on 5 February, the Complete Billing Period is from 5 February to 4 March (both dates inclusive).
    1. If you signed up for a Paid Subscription using your account with a third party as a Payment Method, additional terms may apply and if you wish to cancel your subscription to the DAZN for Business Service, you may need to do so through such third party, for example by visiting your account with the applicable third party and turning off auto-renew, or unsubscribing from the DAZN for Business Service through that third party. You may also find additional billing information about your Paid Subscription to the DAZN for Business Service by visiting your account with the applicable third party.
    1. Your purchase of an Add-On Event cannot be cancelled, unless stated otherwise at sign-up or in other communications made available to you prior to sign-up.
  1. Technical requirements
    1. In order to access, receive and publicly broadcast the DAZN for Business service, you are responsible for ensuring that you have the necessary compatible devices (TV, projection screen or other audiovisual screen, collectively referred to as “displays”). In order to access, receive and publicly broadcast the DAZN for Business Service, you are also responsible for purchasing a connection necessary for reception to a digital cable network, a digitally capable satellite reception system or a corresponding network distribution system.
    2. We will use our reasonable endeavors to ensure that the DAZN for Business Service is made available to you at all times. However, the DAZN for Business Service is provided on an "as is" basis. Subject to sections 7.4 and 12 below, we will not have any liability to you for the cancellation or abandonment of any event or the failure to show any event as scheduled or advertised.
    1. From time to time, we may need to interrupt the DAZN for Business Service for updates or maintenance. We will try to keep such interruptions to a minimum.
    2. We provide the DAZN for Business Service with reasonable care and skill. In addition, we make no warranty (and, to the fullest extent permitted by law and subject to section 12, exclude any implied warranties). We are solely responsible for any claims you or  any third party may have in connection with the DAZN for Business Service and/or its use. Claims relating to the technical infrastructure of DAZN for Business Service and the separate contract with Sky shall be the exclusive responsibility of Sky.
    1. You are not entitled to the provision of the content in HD format, unless otherwise agreed upon conclusion of the contract. The maximum available quality of resolution (e.g. SD, HD or UHD) may vary depending on the content for technical and licensing reasons. We reserve the right to restrict access to Content in higher resolution quality (e.g. HD) for instance if network issues are being experienced, or charge an additional amount depending on your subscription plan chosen at sign-up.
  1. Use of the DAZN for Business Service
    1. We are the owner or licensee of all intellectual property rights in the DAZN for Business Service (including Content). All materials, including but not limited to design, text, software, graphics, footage and images that you receive (and any selection or derivative works thereof) are subject to our and/or third party copyright. If a third party asserts a claim that the DAZN for Business Service or its use infringes that third party's intellectual property rights, we are solely responsible for investigating, defending, settling and satisfying such claim.
You agree that you will:
      1. use the DAZN for Business Service only for broadcasting at the Premises and only in accordance with these Terms;
      2. not use the DAZN for Business Service for private purposes or allow any other person to use the DAZN for Business Service for private purposes;
      3. not require entrance fees for the public broadcast of the DAZN for Business Service. Events in Premises with a capacity of more than 500 officially approved participants must be requested separately in writing from DAZN in good time and require the express prior written consent of DAZN;
      4. only broadcast publicly the DAZN for Business Service via an approved Sky receiver. You must keep your password secret and never disclose or otherwise disclose passwords or other credentials to others (except to the extent expressly permitted within your DAZN for Business Service subscription model, but never beyond);
      5. not copy, record or store, redirect, share, reproduce or otherwise distribute the DAZN for Business Service, in whole or in part, to any other person, nor permit or enable any other person to do so;
      6. not modify, disassemble, decompile, or reverse engineer any part of the DAZN for Business Service;
      7. not embed the DAZN for Business Service into any website, other service or display the contents of the DAZN for Business Service surrounded or framed or otherwise surrounded by material not originating from Us without Our consent;
      1. not misuse or abuse the DAZN for Business Service, or otherwise use it for any unlawful or unauthorized purpose; and
      2. maintain and comply with any licenses, rules of procedure, consents, instructions or guidelines issued by a regulatory or licensing authority or other third party that are necessary for the reception and use of the DAZN for Business Service and the public broadcasting of the Content within the establishment (including any necessary licenses from the collecting societies).
    1. We may immediately suspend or terminate your access to the DAZN for Business Service or withdraw your access to any promotions, offers or discounts if we have reasonable grounds to believe:
      1. your use of the DAZN Service is abusive, disruptive, excessive or against the interests of other subscribers;
      1. there has been a breach of security on your account;
      1. you are in breach of any of these Terms; or
      2. if we have been requested to do so by a regulatory authority; or
      3. if we are required to do so by law or believe it is necessary to do so under applicable law;
    1. If appropriate in the circumstances we will take reasonable steps to inform you in advance of such termination, suspension or withdrawal. However, such notification may not always be possible.
    1. There may be a maximum number of devices that you can register under your account to access the DAZN for Business Service (“Maximum Limit”) which will depend on your subscription plan and, if applicable, will be made clear to you when you sign up or via other communications made available to you.
  1. Your safety precautions
You should be mindful of any communication requesting that you submit credit card or other account information. Providing your information in response to these types of communications can result in identity theft. Always access your sensitive account information by going directly to the DAZN for Business Service or contacting our customer support team and not through a hyperlink in an email or any other electronic communication, even if it looks official.
  1. Age Restrictions
    1. You are responsible for complying with any age restriction obligations in respect of the Content..
    2. Parts of the content may not be suitable for children and young people under the age of 16 or 18 (minors) (content harmful to minors). If you publicly broadcast content harmful to minors in the Premises, you are obliged to determine the age of your guests  in advance and to ensure by lawful measures that minors do not see such content. In particular, content harmful to minors on the DAZN for Business Service may not be shown in rooms where minors are present.
  2. Our rights in the event of your breach
    1. You agree to indemnify us without limitation for all damages, costs and expenses, including reasonable legal costs, arising from:
      1. any negligent or willful misrepresentation, act or omission made by you in connection with your use of the DAZN for Business Service;
      2. any negligent or willful non-compliance of these Terms by you; or
      3. claims made by any third party for your negligent or wilfull access or use of the DAZN for Business Service other than in accordance with these Terms.
    2. Damages within the meaning of section 11.1 also include liabilities that we have towards our affiliated companies, our licensors (including licensors of our affiliated  companies) or towards companies affiliated with our licensors due to one of the facts listed in sections  11.1.1  - 11.1.3.
  3. Performance disruptions/liability
    1. We assume no liability for the technical infrastructure necessary for the reception of the DAZN for Business Service, which is provided to you under your separate contract with Sky.
    2. DAZN (or any rightholder) will not be liable to you or any third party for the (partial or total) delay, malfunction, suspension, interuption and/or unavailability (each an „Unavailability“) in the provision of the DAZN for Business Service caused by:
      1. any circumstance or event outside our control (as per section 13 of these Terms);
      2. tampering or unlawful interventions by third parties on equipment used by Us;
      3. incorrect or unathorised used of the DAZN for Business Service by you;
      4. malfunction or incorrect confirguration of equipment used by you;
      5. any defect in the Viewing Card caused by a manufacturing error; and/or
      6. unauthroised use of the Viewing Card or failure to follow DAZN or Sky’s instructions regarding the Viewing Card.
    3. DAZN will also not be liable for an Unavailability relating to section 3.9 of these Terms.
    4. DAZN won’t be liable for any possible damages arising from your breach of any of your obligations according to these Terms. Except as expressly stated in this Agreement, and subject to section 12.8, all warranties and conditions whether express or implied by statute, common law or otherwise are excluded to the fullest extent permitted by law.
    5. You are under an obligation to take appropriate measures to avoid or mitigate against any potential damage.
    6. DAZN is not liable for any damage, whether direct or indirect (and whether in contract, tort, under statute, for misrepresentation or otherwise), in particular not for lost profits, lost revenues, lost business, loss or damage to goodwill (pecuniary or otherwise) and interest losses, unless the damage is due to gross negligence on the part of DAZN.
    7. Subject to section 12.8, our liability to you arising by reason of or in connection with this Agreement and the supply of your subscription plan as part of the DAZN for Business Service to you will, to the maximum extent permitted by applicable law, be:
      1. if your Paid Subscription is for a minimum initial term (e.g. 12 months), limited to the amount you paid or are due to pay for that minimum initial term; or
      2. if no minimum initial term is specified at the point of sign-up for your Paid Subscription, limited to the amount payable by you for one month of your subscription.
    8. Nothing in these Terms will exclude or limit the liability of us and/or any third-party rights holder for (i) death or personal injury caused by negligence; and (ii) any other losses which cannot be excluded or limited by applicable law.
    1. Nothing in this section shall exclude or limit your liability to pay (without set off) the cost of your Paid Subscription.
    1. DAZN shall have no liability in respect of the lawful termination of your DAZN for Business Subscription in accordance with these Terms.
    1. To the extent that the DAZN for Business Service contains links to third party sites, resources or services, we have no control over the content of those sites, sources or services. Use of any such site, source, or service is subject to the terms of use and privacy policies of the relevant third party. We accept no liability for them or for any damage that may arise from your use of them.
    2. Commentary and other materials posted on the DAZN for Business Service are not intended to amount to advice on which reliance should be placed. We therefore disclaim all liability and responsibility arising from any reliance placed on such materials by any user of the DAZN for Business Service, or by anyone who may be informed of any of its contents.
  1. Contact us
    1. You can contact us in case of technical problems or for any other reason via the “Help” form on business.dazn.com. In order for us to assist  you, you may be asked  to provide your email address, business premises, product details and payment information (including  your billing address for further assistance or identification of your subscription). ). We are solely responsible for all maintenance and support issues related to the DAZN for Business service. Questions concerning the technical infrastructure of DAZN for Business Services and the separate contract with Sky are the exclusive responsibility of Sky.
    2. If you have signed up for the DAZN for Business Service, you should notify us immediately of any changes to your information by contacting our customer support team.
    3. All notifications from us will be sent by e-mail to your last registered email address. We are not responsible if you do not receive messages sent by us, unless we are responsible for any disruption in the transmission of the message.
  2. Privacy and Data Protection
DAZN shall act in accordance with its Privacy Policy, as updated from time to time, which can be found at https://dazn9.my.site.com/Help/s/article/DAZNBUSINESS-PRIVACYNOTICE?language=en_US or such other URL as notified to you by DAZN. Your privacy and personal information are important to us. Any personal information that you provide to us will be dealt with in line with our Privacy Policy, which explains what personal information we collect from you, how and why we collect, store, use and share such information, your rights in relation to your personal information and how to contact us and supervisory authorities if you have a query or complaint about the use of your personal information.
  1. Marks
    1. You ackowledge that certain proprietary items (collectively the „Marks“), including but not limited to trade marks and names, service marks, logos, the corporate name DAZN, are the exclusive propert of DAZN or its respective licensors and that you do not acquire any proprietary rights in the the Marks under these Terms.
    2. You must not use the Marks without DAZN’s prior written consent.
    3. All rights, title and interest in and to the DAZN channels and all the programmes, advertising and promotional materials, ideas, formats and concepts contained therein or used in connection therewith (including all copyright) shall, as between the parties, att all times be the sole property of DAZN, and you shall not make any express or implied claims to the contrary.
  2. Force majeure
Neither we nor third party rights holders shall be liable for any delay in providing or failure to perform the DAZN for Business Service to the extent such delay or failure to perform is beyond our or third party rightholder's control, including, but not limited to, failure of electronic or mechanical equipment or communication channels, third party access (including denial-of-service attacks, and overuse or misuse of the DAZN for  Business Service), disruption of telecommunications or other networks, computer viruses, unauthorized access, theft, operator error, fire, extreme weather conditions, including floods, natural events or orders of regulatory, governmental or supranational authorities, war, riot, labor disputes, or epidemics / pandemics and the cancellation or postponement of an event.
  1. Disclaimer
A waiver by us or any third party rightholder of any provision of these Terms shall not constitute a waiver of any right or remedy or of any claim for subsequent breach of any provision of these Terms.
  1. Rights of third parties
Third party rights holders and payment providers who are entitled to any right or remedy under the Terms will be able to enforce any such provisions of these Terms against you.  Except as otherwise stated, it is not the intention that any section of these Terms shall be enforceable by a third party (as defined in the Contracts (Rights of Third Parties) Act 1999).
  1. Transferring this agreement to someone else
    1. Subject to section 19.2, we may transfer, sub-contract or otherwise deal with our rights and/or obligations under these Terms without notifying you or obtaining your consent.
    2. In the event of a transfer of this entire agreement with you to a third party, we will notify you of the transfer and you will have the right to withdraw from the agreement by declaration to us within the period set out in our notification.
    3. You may not transfer, sub-contract or otherwise deal with your rights and/or obligations under these Terms.
  2. Severability section
If any provision of these Terms is inadmissible or unenforceable, the validity of the remaining Terms shall remain unaffected.
To the extent that an improper or unenforceable provision would become permissible or enforceable by deleting a part, that part shall be deemed to be deleted and the remainder of the provision shall remain in effect.
  1. Governing Law
    1. These Terms shall be exclusively governed by and construed in accordance with the laws of England and Wales.
    2. The courts of England and Wales shall have exclusive jurisdiction over any dispute or claim arising out of or in connection with these Terms.
